What Does "ADT-1 Filing" Really Mean?

What Does "ADT-1 Filing" Really Mean?

What Does "ADT-1 Filing" Really Mean?

ADT-1 Filing is the legal filing that needs to be made with the Registrar of Companies (ROC) to let the Ministry of Corporate Affairs (MCA) know that a company has hired an auditor.

The Companies Act of 2013 says that every business must hire a mandatory inspector. As soon as the company chooses an auditor, it needs to let the ROC know by filing Form ADT-1.

To put it simply, ADT-1 tells the government legally that your business has hired an inspector.

If you don't file ADT-1, you could be fined for not following the rules.

How to File an ADT-1 Form Step by Step

  1. Step 1: Get the auditor's written permission

This is what the suggested inspector has to do:

Allowance in writing to serve as an auditor
Proof of eligibility under Section 141 certificate

  2. Step 2: Hold the meeting of the board

    The Board:

    Allows the meeting to happen
For the AGM (if there is one)

  3. Step 3: Approval from shareholders

In the event of an AGM:

An Ordinary Resolution needs to be passed.

  4. Step 4: Send in Form ADT-1

The company has 15 days from the meeting date to file ADT-1 with ROC.

    Included are the following:

    Copy of the auditor's approval
    Certificate of eligibility
A certified copy of the decision

The MCA records are changed after filing.
